These Terms of Service (hereinafter referred to as the "Terms") constitute a legally binding agreement between you (whether as an individual or on behalf of an entity, "you" or "User") and Seers (operating the website seers.markets, hereinafter referred to as the "Website," "Seers," "we," "us," or "our"), governing your access to and use of the Website and any related media forms, media channels, mobile websites, or mobile applications (collectively, the "Service").
By accessing or using any part of the Service, you unconditionally accept and agree to be bound by all of these Terms. If you do not agree to any part of these Terms, you may not access or use the Service. If you are accessing the Service on behalf of an entity, you represent and warrant that you have the legal capacity and authority to bind such entity to these Terms. The term "you" shall refer to both the entity and the individual accessing the Service on its behalf.
These Terms contain dispute resolution provisions, including an arbitration agreement and class action waiver. Please read them carefully, as they will affect your legal rights.

Definitions
- DigitalAssets:Non-fungible tokens (NFTs), fungible tokens, or other virtual items recorded via blockchain technology, but excluding fiat currency, securities, or investment products.
- Smart Contracts:Automated programs deployed on a blockchain used to manage the provision and transfer of DigitalAssets.
- Issuer:A User who provides DigitalAssets.
- Collector:A User who collects DigitalAssets by completing tasks assigned by an Issuer.
- Stablecoin:Cryptocurrency pegged to fiat currency, such as USDT or USDC.
Service Overview
The Service provides Web3 infrastructure that enables Issuers to provide DigitalAssets and Collectors to acquire DigitalAssets by completing tasks assigned by Issuers. Issuers and Collectors are collectively referred to as "Users."
All DigitalAssets provided or acquired between Seers and Users have no cash value and do not constitute securities, investment products, or financial derivatives. Seers is not a cryptocurrency wallet provider, exchange, broker, financial institution, or creditor. We solely provide blockchain interaction tools and services to record digitized moments of shared experiences on the blockchain. By using the Service, you acknowledge and authorize Seers to manage the provision and transfer of DigitalAssets on your behalf through smart contracts.
You agree that Seers is not responsible for transactions between Issuers and Collectors, nor is it a party to any transactions with third parties. Seers is not responsible for collecting or remitting any taxes that may arise from such transactions. You are solely responsible for reporting and paying any applicable taxes, including but not limited to value-added tax, income tax, or cryptocurrency-related taxes. We do not provide tax advice.
Use of the Service involves inherent blockchain risks, including but not limited to smart contract vulnerabilities, blockchain forks, network congestion, delays, hacking attacks, asset loss, or value volatility. We do not guarantee the continuous availability, security, or stability of the Service or DigitalAssets. DigitalAsset values are highly volatile and may result in total loss. You bear all such risks. Please do not treat the Service as an investment opportunity.
Seers does not provide any investment or financial advice. As with all financial decisions, you should conduct your own research, perform due diligence on investment risks, and consult qualified accountants, financial advisors, tax advisors, legal counsel, or investment professionals regarding such transactions.
User Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction) and possess full legal capacity. If you are below this age, you may not use the Service.
Issuer Responsibilities
If you use the Service as an Issuer, you are fully responsible for all information, content, and other materials related to the Service ("Issuer Content"). You represent and warrant that you will not provide, distribute, link to, or use any Issuer Content or DigitalAssets involving:
- (i) defamatory, obscene, or offensive content;
- (ii) infringement of third-party intellectual property rights (including rights of publicity, privacy, copyright, trademark, trade secrets, or moral rights);
- (iii) threats, harassment, or promotion of racism, bigotry, or hatred;
- (iv) incitement of violence or property damage;
- (v) deceptive, inaccurate, or misleading content;
- (vi) violation or encouragement of violation of any laws or regulations;
- (vii) money laundering, terrorist financing, or violation of anti-money laundering (AML) or know-your-customer (KYC) regulations;
- (viii) illegal gambling, drugs, or controlled substances;
- (ix) malware, viruses, or content related to cyberattacks.
You hereby grant Seers a non-exclusive, worldwide, royalty-free, sublicensable license to display, distribute, and use Issuer Content solely for the purpose of providing the Service, including promotional activities. Once minted, Issuer Content is executed via smart contract and becomes irreversible and unmodifiable. You acknowledge the immutability of blockchain technology.
You agree to indemnify Seers against any claims, losses, damages, or expenses (including reasonable attorneys' fees) arising from your Issuer Content.
Seers Promotion Rules
Features and banners are available only to Standard, Professional, and Enterprise subscription users. Featured tasks must meet a minimum value of $500 in stablecoins or obtain Seers's approval. All task rewards must be deposited in advance.
Subscription users are entitled to the following benefits (subject to content review):
- Mentions of partnership announcements on Seers's official X (formerly Twitter) account;
- Reposts by Seers's activity and community accounts for each task;
- Promotion in Seers's Discord and Telegram channels;
- Banner and homepage exposure for a specified number of days per month, depending on the subscription plan.
All promotional content is subject to Seers's review. We reserve the right to reject, remove, or modify content. Promotions do not guarantee any results, traffic, or outcomes. Seers is not liable for disputes arising from promotions.
Collector Responsibilities
If you use the Service as a Collector, you may only do so for personal, non-commercial purposes (non-commercial purposes mean personal entertainment or learning, excluding resale, commercial promotion, or profit-making activities). Any other use requires our prior written consent. You must be at least 13 years of age and have reached the age of majority in your jurisdiction.
Intellectual Property
All intellectual property rights in the Service (including software, smart contracts, trademarks, and content) belong to Seers or its licensors. You may not reverse engineer, copy, modify, or otherwise infringe these rights.
Termination and Suspension
Seers may terminate, suspend, or restrict your access to the Service at any time without prior notice if you breach these Terms, engage in suspected illegal activity, or if we deem it necessary. We are not liable for any losses resulting from such termination.
Disclaimer and Limitation of Liability
The Service is provided "as is" without any express or implied warranties, including warranties of merchantability or fitness for a particular purpose. We do not warrant that the Service will be error-free, uninterrupted, or secure.
To the maximum extent permitted by applicable law, Seers shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, even if advised of the possibility of such damages. Our total liability shall not exceed the fees you paid us in the past 12 months (or $100 if no fees were paid).
Force Majeure
Seers shall not be liable for any interruption or loss caused by force majeure events (such as natural disasters, cyberattacks, blockchain failures, or regulatory changes).
Dispute Resolution
Any dispute arising from these Terms or the Service shall be submitted to arbitration at the Singapore International Arbitration Centre (SIAC) in Singapore, conducted in English by a single arbitrator. The parties waive rights to class actions, class arbitrations, or jury trials. These Terms are governed by the laws of Singapore, excluding the United Nations Convention on Contracts for the International Sale of Goods.
Severability and Entire Agreement
If any provision of these Terms is held invalid, the remaining provisions shall remain in effect. These Terms constitute the entire agreement between the parties, superseding all prior or oral written agreements.
Third-Party Links and Arbitration Opt-Out
You may opt out of the arbitration provision by sending an email with the subject "LEGAL OPTOUT" to support@seers.fun within 30 days of first using the Service. Failure to opt out within this period constitutes acceptance. Upon opting out, your access to the Service will be immediately terminated.
